Bylaws of the Los Robles Greens Women's Golf Club
 

Article I -- Name

The organization shall be known as the Los Robles Women's Golf Club (LRGWGC), herein referred to as "The Club", and is a member of both the Women's Public Links Golf Association (WPLGA) and the Southern California Golf Association (SCGA).
 

Article II -- Purpose

Section 1. The purpose of The Club is to promote the sport of golf through active participation and to foster sportsmanship, sociability, and friendship among its members.

Section 2. Secure all rights and privileges in the use of the Los Robles Greens Golf Course, (LRGGC), Thousand Oaks, Ventura County, California.
 

Article Ill Membership                   

Section 1. The Club is open to all women 18 years of age and older who are in good standing and meet the requirements of these Bylaws. All members must be current on dues and duly accepted as members by the LRGWGC Board of Directors. As defined by the SCGA/WPLGA, members may not play to an index greater than 40.4.

Section 2. At the discretion of the Board, a regular member may become an "Honorary" member. Honorary members do not pay regular dues and are not eligible for sweeps, tournaments, or team play.

Section 3. A prospective member shall become a full member only after she establishes a handicap and plays at least two 18-hole rounds with a Club member; or if the prospective member does not have an established handicap, she must play five 18-hole rounds with other Club members. No applicant may be denied on the basis of race, creed, or color.
 

Article IV -- Dues and Finances

Section 1. The Club's fiscal year extends from January 1 to the following December 31. The Board shall be held accountable for Club finances. The President and the Treasurer shall be authorized check signers.

Section 2. The yearly membership dues, established by the Board, are payable to the Treasurer October 1, delinquent on October 15, of each year. Delinquent status may be cause for dismissal from membership; nonpayment by November 1 will be cause for automatic dismissal.

Section 3. The Board will determine if and when a dues change is required; the rate of said dues change will be submitted to the general membership for approval.

Section 4. Member dues may consist of the Club membership fee which includes tournament play and weekly sweeps payouts (if determined by the Board), as well as the SCGA handicapping fee, and the (optional) WPLGA fee.
 

Article V -- Nominations and Elections

Section 1. At the August general meeting, the President shall appoint a Nominating Committee Chair and two additional members. All committee members must have at least three months membership with the Club. The committee shall try to get at least two candidates for each office. Any woman who has been a member for one year and is in good standing with an established 18-hole handicap shall be eligible to hold office.

Section 2. The Nominating Committee shall convey to the Board for their approval the names of the members who are candidates for office. Nominations for office shall be posted for no less than 14 days prior to an election. Any candidate nominated to run for more than one office must select and run for only one position prior to the election. If there is more than one candidate for any board office, an election will be conducted among the membership by written ballot. If, however, there is only one candidate for
each office, an election will be conducted via email by the nominating committee. In either case, the election shall be completed by November 1.  Installation of officers shall take place at the December Annual Meeting.

Section 3. If, prior to January 1, a vacancy should occur in the Board elected at the

October general meeting, the Nominating Committee shall reconvene to fill the vacancy.
 

Article VI The Board of Directors (herein known as the Board)

Section 1. It is the duty of the Board to conduct, manage, and control the business of the Club, coordinate club activities, report its findings, make recommendations and obtain approval of the membership. The Board shall consist of the President, Vice

President, Secretary, Treasurer, Tournament Chair, Handicap Chair and Rules Chair.

Section 2. Term of Office -- Members of the Board shall serve from January 1 through December 31. No member shall serve on the Board more than four years and no member of the Board shall hold the same office for more than two consecutive years unless an office remains vacant due to unforeseen circumstances.

Section 3. Vacancies -- If a vacancy occurs in the President's position during the calendar year, the Vice President shall take the position. If the Vice President is unable to fill the vacancy, the Board shall reconvene the Nominating Committee and the committee shall attempt to obtain two candidates for the office. An election of the general membership shall be made by either a mail ballot or at a general meeting, or if necessary, by a special meeting called by the Board. If the Vice President is able to assume the duties of the President, the Board shall appoint a member to fill the vacancy of Vice President for the unexpired term. Other vacancies on the Board shall be filled by the President with the approval of the Board. Vacancies occurring on the committees shall be filled by the President.
 

Article VII -- Committees

Section 1. Standing Committees -- Membership, Hospitality (Sunshine), Publicity, Team Play Captain and LRGWGC Advisor. All Standing Committee chairs shall be appointed by the President. They have no voting rights and are not required to attend Board of Director's meetings.

Section 2. The Board may appoint Ad hoc committees as considered necessary to achieve specific goals.
 

Article VIII-- Meetings

Section 1. Board of Directors meetings shall be held the first Tuesday of each month unless otherwise indicated by the President. Special Board meetings may be called by the President with notice given by the President or Secretary.

Section 2. General Meetings of the membership shall be held the third Tuesday of every other month beginning in February.

Section 3. The Annual Meeting of the membership shall be held each year in December unless otherwise authorized by the Board.

Section 4. A Special Meeting of the membership for reasonable cause may be called by the Board, or by a request representing ten percent (10%) or more of the general membership.

Section 5. The general membership shall be given notice of meetings whether annual or special by the Secretary or her designee no less than seven days prior to the scheduled date. Meeting notices shall specify the meeting place and time, and in the case of a special meeting, the meeting notice shall state the general nature of the business to be conducted.

Section 6. A quorum shall be an assemblage of one-third (1/3) of the general membership. The majority vote of such quorum shall be sufficient to approve and/or amend these Bylaws or to approve or disapprove any matter concerning the Club which requires a vote of the membership. In the event that less than one-third of the membership is present, a written ballot shall be prepared and submitted to all members to ensure that such items have been approved/disapproved by the required quorum.
 

Article IX -- Handicap

Section 1. Handicapping shall be governed by rules established by the USGA/SCGA. Club members must play to a maximum 37 index.  A Maximum Handicap of 40 at Los Robles.

Section 2. Every 18-hole round of 13 or more holes played must be posted; every 9-hole round of 7 or more holes played must be posted.
 

Article X -- Parliamentary Authority
Robert's Rules of Order Newly Revised shall serve as the parliamentary authority of this Club for all rules and procedures not covered by these Bylaws or other rules.
 

Article Xl -- Amendments
These Bylaws may be amended, revised, or repealed at any general membership meeting by a majority vote provided a quorum of the membership is present. The proposed amendment shall be presented at the previous meeting and notice posted two weeks prior to voting.
